Terms of Service

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of DivFolio Case Manager ("we," "our," or "us") and our case management platform and services (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting.

Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will provide accurate, current, and complete information during registration
  • You will maintain and update your account information to keep it accurate
  • You are responsible for maintaining the confidentiality of your account credentials

Account Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Use of Service

Permitted Uses

You may use the Service for lawful business purposes only, including:

  • Managing case-related information and documents
  • Collaborating with team members and clients
  • Organizing and tracking case progress
  • Communicating with clients and stakeholders

Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe upon the rights of others (including intellectual property rights)
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users
  • Use the Service to send spam or unsolicited communications

Intellectual Property

The Service and its original content, features, and functionality are owned by DivFolio Case Manager and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

Payment Terms

If you purchase a subscription or other paid features:

  • You agree to pay all fees associated with your subscription
  • Fees are billed in advance on a recurring basis (monthly or annually)
  • All fees are non-refundable except as required by law
  • We reserve the right to change our pricing with 30 days' notice
  • You are responsible for any taxes applicable to your purchase
  • Failure to pay may result in suspension or termination of your account

Subscription and Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will continue to have access to paid features until the subscription expires
  • No refunds will be provided for the current billing period
  • Your account may be downgraded to a free tier after expiration

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though we may retain certain information as required by law.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any information on the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIVFOLIO CASE MANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless DivFolio Case Manager and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
